To keep your project on schedule, you agree to provide timely feedback, supply accurate and complete project information, and respond to requests for approvals or materials within a reasonable time. Delays caused by late client feedback may extend agreed project timelines.
06 Project Timelines & Deliverables
Estimated timelines are provided in good faith based on the scope agreed at project start. Timelines may shift due to scope changes, delayed feedback, or factors outside our reasonable control. We will communicate any material changes to your timeline as early as possible.
07 Fees, Payment & Refunds
Project fees are outlined in your quote or proposal. Most projects require a deposit before work begins, with the balance due on agreed milestones or completion. Deposits are non-refundable once work has commenced, as they cover time and resources already committed. Late payments may result in a pause of ongoing work.
08 Intellectual Property Rights
Until full payment is received, all concepts, designs, and deliverables remain the intellectual property of Digitiz Evolution. Any pre-existing tools, frameworks, or proprietary processes we use to deliver a project remain our property even after final delivery.
09 Ownership of Final Deliverables
Upon full and final payment, ownership and commercial usage rights for the specific deliverables created for your project (such as your final logo files or website) transfer to you. This does not include our internal templates, frameworks, or unused concepts from the design process.
10 Third-Party Tools & Content
Projects may incorporate third-party tools, plugins, stock imagery, or licensed fonts. Where applicable, you are responsible for any ongoing subscription or licensing fees required to continue using these after project completion, and for complying with their respective licenses.
11 Confidentiality
We treat information shared during a project as confidential and will not disclose it to third parties without your consent, except where required by law. We're happy to sign a mutual NDA before discussing sensitive project details if requested.
12 Warranties & Disclaimers
We provide our services with reasonable skill and care. However, our website and deliverables are provided "as is," and we do not guarantee specific business outcomes (such as sales, rankings, or traffic figures) resulting from our design, development, or marketing work.
13 Limitation of Liability
To the maximum extent permitted by law, Digitiz Evolution's total liability for any claim arising from our services is limited to the amount paid by you for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
14 Indemnification
You agree to indemnify and hold Digitiz Evolution harmless from any claims, damages, or expenses arising from your misuse of our deliverables, violation of these Terms, or infringement of third-party rights through content or materials you provide to us.
15 Termination
Either party may terminate an active project with written notice. If you terminate a project in progress, you remain responsible for payment for work completed up to the termination date. We reserve the right to pause or terminate services for non-payment or breach of these Terms.

These Terms are governed by the laws applicable in the jurisdiction where Digitiz Evolution is registered, without regard to conflict of law principles. Any disputes arising from these Terms will first be addressed through good-faith negotiation before pursuing formal proceedings.
